After months of fighting, scheming and refusing to back down, Phyllis Summers finally did the one thing nobody thought she would do — she gave Newman Enterprises back to Victor Newman.
The decision didn’t come easily.
Even after realizing the walls were closing in around her, Phyllis still struggled with the idea of surrendering everything she had worked to build. She spent much of the day looking for a way to keep control of the company while avoiding the legal consequences that were rapidly piling up around her.
In the end, however, the reality of her situation became impossible to ignore.
Michael Finally Gets Through to Phyllis

For weeks, Phyllis has viewed every conversation through the lens of survival.
She convinced herself that if she just fought a little harder, pushed a little further or found one more advantage, she could somehow keep the company and avoid paying the price for how she acquired it.
Michael Baldwin was one of the few people willing to tell her the truth.

He reminded Phyllis that this was no longer about winning. It was about staying out of prison.
When Phyllis argued that giving the company back would leave her with nothing, Michael pointed out that she was already out of moves. The legal case against her was growing stronger, Victor wasn’t backing down and Nick had already made it clear that her time was running out.
Most importantly, Michael forced Phyllis to stop seeing herself as the victim.

She made a high-risk power play. It worked for a while. But now the consequences had arrived.
For perhaps the first time since taking control of Newman Enterprises, Phyllis began seriously considering that walking away might be her only real option.
Victor Finally Admits The Truth

The most fascinating part of the showdown at the Newman Ranch wasn’t Phyllis agreeing to return the company.
It was Victor finally admitting that the emails Phyllis had sent were fabricated.

When Christine demanded answers about the emails that had been used against Phyllis, Victor could only dodge the question for so long. With Nick, Michael and Phyllis all pushing him to come clean, Victor ultimately acknowledged that the evidence could not be trusted.
It was a major moment because Christine had built much of her case around information provided by Victor and Victoria.
The realization that she had been manipulated left her furious.

Victor didn’t exactly apologize for what he had done. In true Victor Newman fashion, he maintained that he was simply doing whatever was necessary to get back what belonged to him. Still, his admission changed everything.
Without those emails, the case against Phyllis immediately became far more difficult to pursue.
Nick May Have Been The Real Difference Maker
As much as Victor ultimately got his company back, Nick deserves a great deal of credit for making the deal happen.
He repeatedly acknowledged that Phyllis saved his life and made it clear that he wanted a solution that would end the war without sending her to prison. Throughout the negotiations, Nick continued pushing both sides to compromise, even when neither Victor nor Phyllis wanted to budge.

At several points, it looked as though the entire deal might collapse because both Victor and Phyllis were waiting for the other to move first.
Nick refused to let that happen.
His determination to find middle ground ultimately helped break the stalemate and finally brought the months-long battle to an end.
The Victory Doesn’t Feel Complete For Anyone

While the Newman family celebrated the return of Newman Enterprises with champagne, the mood surrounding Phyllis was very different.
There was no sense of triumph. After fighting so hard to hold onto the company, she was forced to confront the reality that it was over. Newman Enterprises was gone, her reputation had taken another hit, and her relationships with Daniel and Summer remain fractured.
That didn’t mean Phyllis was willing to leave quietly.

Later at the GCAC, she made a beeline for Christine and unloaded on her, taking obvious satisfaction in the fact that the district attorney had trusted Victor’s fake evidence. Phyllis reminded Christine that she had been telling the truth about the emails all along and seemed determined to make her feel every bit as embarrassed and humiliated as she had felt throughout the ordeal.

Meanwhile, back at the Newman Ranch, the mood was much lighter. With the paperwork finalized, Victor officially had Newman Enterprises back where he believes it belongs. Surrounded by Nick, Victoria, Adam and Chelsea, he celebrated the victory with a champagne toast as the family looked ahead to the future.
The only person missing was Nikki.
Victoria couldn’t help but point out that the celebration didn’t feel complete without her mother there. While Victor may have won back his company, Victoria clearly hopes the next victory will be finding a way back to Nikki.
For now, though, Victor got exactly what he wanted. Newman Enterprises is back in Newman hands, and one of Genoa City’s biggest power struggles has finally come to an end.
